As you can see in bq76940 datasheet, VC0 to VSS max voltage is 3.6V.
Normally VSS is referenced near the sense resistor. Considering parasitic efffects and transcients, like SCD protection happens, VC0 will have a high voltage, thereby need a zerner to protect.
