We are looking to purchase LM3S2965-W
Would you agree to the following conditions on this order only please?
“Micross shall provide SLB with the Products, complying with the following specifications : (i) Die description 100649910D rev AH ; (ii) EP772319 rev AN ; (iii) Texas Instrument's datasheet referenced DS-LM3S2965-15852.2743 SPMS144I (accessible through the following link : https://www.ti.com/lit/ds/symlink/lm3s6965.pdf?ts=1764116869772).
In the event that Texas Instruments notifies Supplier of its refusal to commit to supplying the Products in accordance with the above-mentioned specifications (i) and (iii), SLB may, at its sole discretion, cancel the Order at no cost.
In the event that Texas Instruments accepts to comply with the specifications (i) and (iii), the Parties shall proceed as follows :
- upon delivery of the Products, Supplier shall provide SLB with 5 dies ("Sample"), within 4 weeks of the receipt of the Products at the latest.
- SLB shall then carry on tests aiming at verifying the conformance of the Sample to the three above-mentioned specifications within 4 weeks of the reception of the Sample at SLB facility.
- If the tests prove successful, Supplier shall deliver the Products to SLB in accordance with the agreed-upon delivery terms.
- If the tests establish the non-conformity of the Sample, SLB may, at its sole discretion, either (i) cancel the Order or (ii) if Texas Instruments proposes/accepts to replace the defective Products, go through the same process described above, it being understood that SLB may choose the most suitable option regardless of whether Texas Instruments notifies of its proposal/acceptance to replace the Products."
