yes it will, but you may need to reduce the JTAG clock frequency although you should normally not need to on the 3137.
the rule of thumb if you do is 1/8th the CPU clock but I believe on the 3137 only the RTP & DMM really need RTCK.

IcePick-C is a scanpath router that is on the silicon, it is sort of the 1st level TAP and allows you to select various sub-chains like boundary scan, emulation, etc.
So it's not a scan controller.
XDS200 is a scan controller that is USB or Ethernet based.
You use them together - it's not an either-or situation.
